TERMS AND CONDITIONS

1 - CONTRACTING OF THE ESIM

The User may register to purchase an eSIM through our APP. The User must accept the Terms of Use in order to register and purchase an eSIM. New Era's Privacy Policy and Cookie Policy will be displayed in the Application when the User registers to purchase an eSIM.

2 - PURCHASE AND ACTIVATION OF THE ESIM

By purchasing an eSIM through any of our sales channels, you enter into an agreement with us for the purchase of the eSIM and accept all the terms and conditions of said Agreement. The payments to be made by the buyer it is an essential element of the Agreement.

From the moment you purchase the eSIM, you are responsible for it. If you damage or lose your device before you have paid the full price of the eSIM, you will still be responsible for the full price of the eSIM.

You can purchase an eSIM through one of New Era's partners ("Third Parties"). If you purchase one of our eSIMs from a Third Party, you are entering into an agreement with that Third Party for the purchase of the eSIM and New Era is not a party to such agreement.

New Era will make available Data Plans related to specific countries. New Era reserves the right to restrict the availability of such Data Plans in some jurisdictions. Users may search, select and purchase our Data Plans through the Application or from Third Parties.

By using the Service, you agree that you have an unlocked device compatible with the eSIM, which is necessary to access the Service.

3 - DURATION

This Agreement will come into effect once you purchase the eSIM. Once you have downloaded the eSIM to your Device and the Data Plan has been activated, the downloaded eSIM will remain on your Device after your Data Plan credit has been exhausted or your Data Plan has expired. The User may choose to remove the eSIM at any time through the settings of the User's Device. However, we recommend that the User does not remove the eSIM until the User's Data Plan has been consumed or has expired. Downloading the eSIM and activating any of the Data Plans may require a stable internet connection.

The term of this Agreement shall be until the Data Plan has expired or until the credit based on the Data Plan purchased has been exhausted.

4 - TERMINATION

This Agreement shall terminate immediately if any of the following occurs:

the User's consumption or expiration of the Data Plan in accordance with the previous clause; or

suspension of the User's use of the eSIM or Data Plan by New Era due to the User's breach of these Terms and Conditions (including any breach of applicable law).

Following termination in accordance with clause 4.1.1, if you do not remove the eSIM from your Device immediately upon consumption or expiry of the Data Plan, the eSIM will be provided to you “as is” without warranty of any kind. New Era shall have no liability to you for such eSIM under this clause 4.2 until such time as you purchase any other eSIM or Data Plan, in which case these Terms and Conditions will apply.

5 - WARRANTY

These Terms and Conditions are in addition to your statutory rights as a consumer.

New Era does not provide any warranties or representations regarding the eSIM or Service, and all warranties and conditions (except to the extent required by applicable law), whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law.

New Era reserves the right, at its sole discretion, to discontinue the sale, supply or support of any eSIM at any time.

6 - SERVICE AVAILABILITY

New Era will take commercially necessary measures to make the Service available to You at all times, depending on the ability of New Era and its service providers to maintain network capacity and availability.

New Era partners with suppliers to provide the Service, including network service providers. These vary from jurisdiction to jurisdiction.

If you purchase an “Unlimited” Data Plan, please note that data coverage and speed may be subject to the network service provider’s fair usage policy. This means that, in order to ensure a high quality of service for all users, the network service provider reserves the right to impose restrictions or limitations on data usage or speed if your usage is deemed excessive or adversely affects the network performance of other users.

New Era does not guarantee network capacity, network quality or the availability of the Service connection. This includes (but is not limited to) any of the following circumstances:

• when our service providers need to perform upgrade, maintenance or other work on their network services;
• when you are in areas not covered by our service providers' network or in accordance with the areas specified in the Data Plan;
• when factors beyond our control cause interruptions, such as interruptions caused by the features or functionality of your Device, regulatory requirements, failures in communication networks, weather, radio interference or other physical obstructions.

7 - USER OBLIGATIONS

The User agrees to:

• use the eSIM in accordance with these Terms and Conditions;
• use the eSIM in accordance with all applicable laws and regulations of the country in which the User is located or habitually resides;
• not use the eSIM to carry out any fraudulent, unlawful, criminal or illegal action, or to cause alterations or damage to the network;
• not to use the eSIM to copy, store, modify, publish or distribute New Era commercial information (including trade secrets) except where we give you permission to do so;
• not to use the eSIM to download, send and upload content of excessive size, quantity or frequency; and
• not to use the eSIM in a manner that infringes the intellectual property rights of any third party.
• Resell, redistribute, or commercially exploit the eSIM service without permission.
• Attempt to hack, reverse-engineer, or disrupt our systems.
• Use the service for spam, bulk messaging, or unauthorized marketing.
• Provide false information during account registration.

You agree that no credits, promotions and references on the Service (the “Promotions”) will be used to undermine the fairness, integrity or legitimate operation of the Service, including, but not limited to, creating false user registrations or using fictitious identities to participate in the Promotions in order to obtain prizes

You agree that New Era may suspend the Service in the event of any breach of these Terms and Conditions. You shall act responsibly and pay for all charges due under these Terms and Conditions in respect of any suspension of the Service. New Era reserves the right to seek compensation for damages (including legal costs) to the fullest extent permitted by law.

New Era, at its sole discretion and without any liability to the User, reserves the right to delete the User's Application account and prevent the User from future use of the Service or benefiting from any of the Promotions.

8 - PAYMENT CONDITIONS

The User may register and purchase the eSIM in the Application. Payment will be processed by an authorized agent of New Era.

All eSIMs are prepaid and prices include any indirect tax, unless otherwise specified. Indirect Tax will be charged based on the postcode provided by the User when entering payment information in New Era in accordance with applicable law.

“Indirect Taxes” in this clause 8 means any sales tax, value added tax and any other similar levy or tax that may be applicable at the time of sale of the Data Plan associated with an eSIM.

The User may choose to save the payment method during the checkout process and under the administration of the service provider, so that for future purchases this information is automatically added without the User having to re-enter it. The User may delete the payment method information at any time. This payment method information cannot be changed; if a change is requested, the User will have to delete the previous payment method and enter the new payment method.

9 - WITHDRAWAL

If you purchase an eSIM as a consumer, you have the legal right to withdraw from this Agreement within 14 days without giving any reason. The withdrawal period will expire 14 days after the purchase of an eSIM or, if earlier, until the date on which the eSIM is activated and the Plan is consumed or exhausted.

To exercise your right of withdrawal, you must notify us of your decision to withdraw from the Agreement by means of an unequivocal statement. Please contact New Era, A/A Customer Care, whose details can be found in section 18 below.

10 - RETURN AND REFUND POLICY

You will receive the Service in accordance with these Terms and Conditions. If you believe that the Service provided to you does not comply with these Terms and Conditions or does not comply with your statutory consumer rights, please let us know. If applicable, we will provide you with a full or partial refund in respect of an affected eSIM or Data Plan, in accordance with clauses 10.2 to 10.8 below.

In order to obtain a full refund from New Era, the User must meet the following requirements:

• the eSIM must have been purchased from New Era through the Application (i.e. not from Third Parties);
• the eSIM must not have been activated; and
• the purchase of the eSIM must have been made no more than 6 months prior to the refund request.

Subject to clauses 10.2.1 and 10.2.3, in the following circumstances, New Era may provide you with a full or partial refund proportional to the reduction in the value of the eSIM or Data Plan:

• if the Data Plan related to the eSIM has already been activated and/or (partly) consumed or the credit has been exhausted; or
• if the eSIM does not work due to a problem with the network infrastructure or when the network infrastructure in the destination country is problematic or unstable.

In the event that the User purchases an eSIM and downloads it to an incompatible or locked Device, New Era will provide the User with a full refund, provided that the User has complied with the requirements of 10.2.1-10.2.3.

11 - INTELLECTUAL PROPERTY

Unless otherwise indicated, the eSIM is our property and all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics on the Application (collectively, the “Content”) and the trademarks, service marks and logos contained therein (the “Marks”) are owned, controlled and/or licensed to us and are protected by copyright and trademark laws and other intellectual property rights.

Except as expressly set forth in these Terms and Conditions, no part of the eSIM, the Application or the Content or Marks may be copied, reproduced, aggregated, republished, posted, shared, publicly displayed, encoded, translated, broadcast, distributed, sold, licensed or otherwise exploited for any commercial purpose whatsoever, without our prior express written permission.

12 - DATA PROTECTION

When you purchase an eSIM, you agree that New Era will process your personal information ("Personal Data") to make the Service available to you, monitor and improve the Service and prevent unauthorized use of the Service.

13 - INDEMNIFICATION

You agree to indemnify and hold New Era and its subsidiaries, affiliates, officers, representatives, partners, employees and service providers harmless from and against all losses, costs, charges, demands, proceedings, damages, actions, expenses and claims incurred by us as a result of:

• a breach by you of these Terms and Conditions; and/or
• any other matter arising out of or in connection with any use you may make of the Service other than as set out in these Terms and Conditions.

14 - LIMITATION OF NEW ERA'S LIABILITY

To the extent permitted by law, we exclude all liability (whether in contract, negligence or otherwise) for any loss or damage you may suffer in connection with your use of the Service, including the eSIM or any Data Plan. Notwithstanding the foregoing, New Era's liability under or in connection with this Agreement, whether arising in contract, negligence or otherwise, shall in no event exceed the amount of charges payable by you to New Era under the relevant Data Plan in the 12 months preceding the date on which the event giving rise to such liabilities occurred, or 100 Euros; whichever is greater. This does not affect our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, or any other liability arising from the use of such Data Plan. any other liability which cannot be excluded or limited under applicable law.

15 - APPLICABLE LAW

In the absence of any specific applicable law that may be applicable from time to time: (a) these Terms and Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and in accordance with the laws of the United Arab Emirates; and (b) the courts of the United Arab Emirates shall have jurisdiction to resolve any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or their subject matter or formation.

Other mandatory laws of other states shall apply, and the jurisdiction of the courts that apply to your use of the eSIM shall be subject to the laws in force at that time.

Any dispute arising from or in connection with these terms shall be subject to the jurisdiction of the courts of Ras Al Khaimah, United Arab Emirates, except in specific cases where the specific laws applicable to the dispute in another state regarding consumer and user matters and other applicable laws applicable to the service provided herein apply, in cases where applicable under applicable law.

The Service and the Application are not intended for use by any person or entity in any jurisdiction or country where such use would be contrary to applicable laws or regulations. Accordingly, those who choose to access the Service and/or the Application from locations where such use is prohibited do so on their own initiative and are solely responsible for compliance with local laws, to the extent local laws are applicable.

16 - MODIFICATION OF THE TERMS AND CONDITIONS OF USE

We may vary any of the terms of your Agreement or any future terms and conditions, including those relating to our Data Plans, as follows:

• any updates to the Terms and Conditions and introduction of new terms will be available on our Application and website;
• we will inform you if we make any variation to this Agreement by means of a relevant notice through the APP. If you do not have the APP, you will be able to see the always updated Terms and Conditions on the website so we urge you to check them regularly. You are free to stop using the Service in the event of any change to the Terms and Conditions, except in the following situations: (a) where the change is exclusively for your benefit; (b) where the change is of a purely administrative nature, or (c) where the change is imposed by applicable law.
• If you continue to use the Service after the change to this Agreement has come into effect, you will be deemed to have accepted the change.

17 - GENERAL

New Era may assign, transfer or subrogate to any company within its group the rights and obligations arising from this Agreement without the express consent and authorization of the User.

If at any time any provision of this Agreement (or part of any provision) is or becomes illegal, void or unenforceable, but would be legal, valid and enforceable if any part of it were deleted or modified, the provision or part of the provision in question will apply with such deletions or modifications as are necessary to make the provision legal, valid and enforceable.

No failure or delay by either party in exercising any right or remedy under this Agreement shall operate as a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of such right or remedy. No waiver by either party of any breach by the other party of any provision of this Agreement shall be deemed to be a waiver of any preceding or subsequent breach. The rights and remedies provided for in this Agreement are cumulative and do not exclude any right or remedy provided by law.

This Agreement is drawn up in English. In the event of a conflict between the English version of the Agreement and any translated copy of it, the English version shall prevail.

18 - ORGANIZING ENTITY, TERRITORIAL SCOPE, DURATION AND PARTICIPANTS

NEW ERA VISIONARY GROUP IBERIA, S.L. (hereinafter, "NEW ERA"), with registered office at Carrer de Bailèn 105, 08008 Barcelona, Spain, and Tax ID number B-70792197, is organizing a promotional giveaway (hereinafter, “the Giveaway”), which will run from April 16, 2025, at 9:00 a.m. until April 29, 2025, at 11:00 p.m. (both dates inclusive). This Giveaway is open to individuals aged 18 and over, in accordance with the terms and conditions published on the website referenced below.

The territorial scope of this Giveaway is limited to the city of Barcelona, as the winner will be selected live during the Energy Fest concert held at Palau Sant Jordi.

One (1) winner will be selected from among the eligible participants through the draw described in Clause Three. The prize consists of one (1) SEAT CUPRA FORMENTOR, under the terms set out in Clause Four. The winner must be of legal age.

19 - ELIGIBILITY

To enter the Giveaway, participants must meet the following requirements:

• Purchase a ticket for the Energy Fest concert.
• Attend the concert in person.
• Download the official Barça Mobile app (available on the App Store and Google Play).
• Follow Barça Mobile’s official Instagram account: @barcamobile.
• Register and log in through the app to activate their participation.

20 - GIVEAWAY MECHANICS

1. 20.1 If there are no participants, the Giveaway will be automatically cancelled.

2. 20.2 If there is only one participant, a draw will not be necessary and that participant will be declared the winner, provided the registration form was completed correctly and all eligibility requirements set out in Clause Two are met. If not, a draw will be held among the other qualifying participants.

3. 20.3 Each participant will be assigned a sequential number in order of registration, resulting in a consecutive range (e.g., 1 to 50).

4. 20.4 Once the participation period ends, the draw will be carried out using a random computer system in the presence of a Notary, who will select one (1) winner.

5. 20.5 The draw will be held before a Notary on April 29, 2025.

6. 20.6 Once the draw is complete, the Notary will prepare a record officially identifying the winner.

7. 20.7 If the winner declines the prize, fails to accept it, or does not meet the requirements, the Giveaway will be declared void.

8. 20.8 By entering this Giveaway, participants expressly agree to (i) these legal terms and (ii) being contacted by email if they are selected as the winner. This email will serve as official notification. The winner will be contacted within a maximum of 7 days following the draw. If the winner cannot be reached or does not respond within 24 hours of the first contact attempt, the prize will be forfeited and the Giveaway will be declared void.

9. 20.9 The winner must expressly accept or decline the prize. If accepted, the winner must follow all logistical instructions provided by NEW ERA to claim it.

21 - GIVEAWAY INSTRUCTIONS

To be eligible to win the prize, participants must:

• Download the Barça Mobile app and create a user profile.
• Complete the registration form correctly with valid information.
• Agree to receive marketing communications from NEW ERA and/or associated entities.
• Correctly answer all 3 quiz questions.

Participants who fulfill all steps will be entered into the prize draw. Once a winner is selected, eligibility will be verified before contact is made. The winner must accept or decline the prize within 24 hours of receiving the notification email. Failure to respond will be considered a forfeiture.

The winner may be publicly announced via any communication channel used by NEW ERA. By accepting the prize, the winner authorizes NEW ERA to use their name and image in related promotional materials, without any monetary compensation. Acceptance must be confirmed via a written reply to the email sent by the organization.

22 - PRIZE

1. 22.1 The prize consists of: “One (1) SEAT CUPRA FORMENTOR”.

The winner must be of legal age. Any additional costs (insurance, extras, or services unrelated to NEW ERA) will be the sole responsibility of the winner. The car must be collected in person, following instructions sent by the organizers. Travel costs will not be covered by NEW ERA.

NEW ERA reserves the right to replace the prize with another of equal value and characteristics in case of force majeure. The color and design of the vehicle may not be selected by the winner. Each party is responsible for complying with their tax obligations arising from the prize.

23 - FRAUD PREVENTION

If NEW ERA or any associated entity detects irregularities or technical manipulation that interferes with the fair operation of the promotion, they may unilaterally cancel the participant’s registration. NEW ERA has the necessary technical tools to detect such fraud.

24 - NO CASH ALTERNATIVE

The prize cannot be exchanged, altered, or redeemed for cash at the winner's or companion’s request.

26 - NOTARY DEPOSIT

These legal terms are filed before a Notary Public of the Ilustre Colegio de Notarios de Cataluña (Barcelona Notary Association).

27 - ACCEPTANCE OF TERMS

By participating in this Giveaway, participants fully and unreservedly accept:

a) These legal terms.

b) The draw mechanics.

c) The processing and use of their personal data in accordance with these terms.

In the event of a dispute regarding the interpretation or application of these terms, the courts and tribunals of Barcelona shall have jurisdiction, with participants expressly waiving any other jurisdiction that may apply.

28 - DATA PROTECTION & USE OF PERSONAL INFORMATION

a) DATA CONTROLLER: NEW ERA, with registered office at Carrer de Bailèn 105, 08008 Barcelona, Spain, and Tax ID B-70792197.

b) PURPOSE, LEGAL BASIS AND RETENTION PERIOD: By participating, personal data will be used for the following:

• Registration & marketing consent: Data will be processed to manage registration (if not already registered) and to send marketing communications from NEW ERA and/or related entities (e.g., merchandising, ticketing, digital services), only with express consent.
• Giveaway participation: Data will be processed throughout the duration of the promotion and, if the participant wins, for as long as necessary to manage prize logistics and legal obligations.

DATA SHARING: Personal data will not be shared with third parties unless required to manage the prize (e.g., travel, hotel bookings), or with NEW ERA service providers acting on its behalf who will not use the data for their own purposes. Some providers may be located outside the EU.

INTERNATIONAL DATA TRANSFERS: In cases where NEW ERA works with providers outside the EU, it ensures appropriate safeguards (e.g., standard contractual clauses, certifications).

EXERCISING RIGHTS: Participants may exercise their rights of access, rectification, deletion, objection, limitation or portability by writing to Carrer de Bailèn 105, 08009 Barcelona, or by emailing: [email protected].

You may also contact our Data Protection Officer via that email. If your request is not resolved, you can file a complaint with the Spanish Data Protection Authority: www.aepd.es.

29 - CLAIMS PERIOD

The period for submitting any claims will end 90 calendar days after the promotion concludes.

30 - GOVERNING LAW & JURISDICTION

These terms are governed by Spanish law. Any disputes arising in connection with the Giveaway will be subject to the jurisdiction of the courts and tribunals of Barcelona, except in the case of consumers, where applicable legal provisions will apply.
